Terms of Service

These Terms govern your use of utahdealers.ai (the “Service”), operated by Grid Theory (gridtheory.com) (“we,” “us”). By using the Service you agree to these Terms. Please read the sections on the Trust Score, disclaimers, and limitation of liability carefully.
1. What Utahdealers.ai is
Utahdealers.ai is an independent informational directory of Utah automotive dealerships and a publisher of the 7-Star Dealer Trust Score. We are not affiliated with, endorsed by, or acting on behalf of any dealership unless expressly stated. The Service is provided for general information only and is not professional, legal, financial, or purchasing advice. Always do your own due diligence before transacting.
2. The Trust Score is editorial opinion
Each Trust Score is our editorial assessment, expressed as a rating, derived by applying a published, transparent methodology to factual data from official records, licensed data providers, and public sources. Scores reflect the information available to us at a point in time, are estimates that may be incomplete or change, and are not statements of objective fact about any dealership’s character. We make no guarantee that any score is error-free. If you believe a score or an underlying datapoint is inaccurate, you may submit a correction or dispute (Section 7), which we will review in good faith.
3. “Verified” means identity — not quality
A “Verified” badge indicates only that we confirmed a dealership’s identity and active Utah license against public records as of the stated date. It is not an endorsement, certification of quality or safety, guarantee, or warranty of any kind, and does not change the dealership’s Trust Score.
4. The score is never for sale
A dealership may purchase a Verified subscription to claim and manage its profile and access tools. Payment does not, and cannot, influence a dealership’s Trust Score, rank, or the presentation of its data. Scoring is firewalled from billing, and we audit that separation.
5. Dealer accounts, claiming, and billing
Dealership representatives may create an account and claim a profile after identity and license verification. The Verified subscription is $499 per year, billed through our payment processor and renewing annually unless cancelled. You authorize recurring charges until you cancel. Except where required by law, fees are non-refundable for the then-current term. You are responsible for the accuracy of information you submit and for maintaining your credentials.
6. Acceptable use
- Do not scrape, harvest, or bulk-extract data from the Service, or build a competing database from it, except as expressly permitted.
- Do not attempt to manipulate scores, submit fake or incentivized reviews, or misrepresent your identity or affiliation.
- Do not interfere with, probe, or overload the Service, or circumvent any security or access control.
- Do not use the Service for unlawful purposes or to infringe others’ rights.
7. Corrections, disputes, and moderation
Dealerships and users may report inaccuracies and dispute a score or datapoint by contacting hello@gridtheory.com. We maintain a review process and will correct verified errors; we keep an audit record of changes. We may remove content we determine to be fraudulent or in violation of these Terms, applying one standard to all dealerships, consistent with applicable consumer-review law.
8. User submissions
If you submit content (such as a review or a claim), you represent that it is truthful and that you have the right to submit it, and you grant us a non-exclusive, royalty-free license to use, display, and process it to operate the Service. We do not author reviews on dealerships’ behalf.
9. Intellectual property
The Service, the 7-Star Dealer Trust Score methodology, the compiled registry, our software, design, and marks are owned by us or our licensors and are protected by law. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. Third-party names and marks belong to their respective owners and are used for identification only.
10. Third-party data and links
The Service surfaces information and links from third parties, attributed to their source. We do not control and are not responsible for third-party content, accuracy, or availability.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. You use the Service and rely on any score or information at your own risk.
12. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars (US$100).
13. Indemnification
You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your content, or your violation of these Terms or applicable law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. The state and federal courts located in Salt Lake County, Utah have exclusive jurisdiction, except that either party may seek injunctive relief where appropriate. The parties agree to attempt to resolve any dispute informally before initiating formal proceedings.
15. Changes and termination
We may update these Terms and will revise the “last updated” date; material changes will be made apparent. We may suspend or terminate access for violation of these Terms. Sections that by their nature should survive termination will survive.
